Board of Directors

Following Novo Mercado’s corporate standards, the Board of Directors consists of a minimum of 5 members, and a maximum of 7 effective members, all of whom are elected at shareholders’ meeting with a 2-year term (reelection permitted). At least 20% of the Company’s Board of Directors must be composed of independent members.

Claudio Roberto Ely

  • Position: Chairman and independent member

Mr. Claudio Roberto Ely is a senior consultant at Warburg Pincus. Prior to that, Mr. Ely was CEO at Drogasil S.A., where he led the company’s IPO process in 2007 and participated in the merger of Drogasil with Raia S.A., which resulted in Raiadrogasil S.A., Brazil’s largest pharmacy chain.
Mr. Ely was also CEO and held management positions at Banco Geral do Comércio, and was Managing Director at Camargo Correa Metais. Mr. Ely is currently a member of the Boards of Directors of Pet Center, DIMED Distribuidora de Medicamentos and Petrobrás Distribuidora, and a member of the Advisory Council of Eurofarma Laboratórios and Sequoia Logística. He holds a degree in Civil Engineering from the Federal University of Rio Grande do Sul.

Eduardo Terra

Mr. Terra holds a bachelor’s degree in business administration from Escola Superior de Propaganda e Marketing (ESPM), a postgraduation degree from Fundação Instituto de Administração (FIA) and a master’s degree from University of São Paulo. Mr. Terra has been serving as deliberative advisor to Savegnago Supermercados since 2014 and to Lopes Supermercado since 2016. He also serves at the strategy and innovation committee of Center Norte since 2017 and at the advisory board of Extrafarma / Grupo Ultra since 2018. He is also a partner at BTR Educação e Consultoria and Évolus Educação Digital, and serves as president of the Brazilian Society of Retail and Consumption – SBVC.

Gregory Louis Reider

Mr. Gregory holds bachelor’s degrees in Economics and International Relations from the Yale College. Mr. Gregory Louis Reider is the Chairman of the Board of Lojas Uniao 1A99 S.A., Chairman of the Board of Sequoia Transportes e Logistica S.A., and senior consultant at Warburg Pincus, a global private equity investment manager and controlling shareholder of Pet Center. Prior to that, he was Principal at Warburg Pincus from 2012 to 2020, led the private equity area of BR Partners, an investment bank focused on medium-size companies, and worked at Och-Ziff Capital Management, carrying out alternative investments in energy and emerging markets. He was a Board member of Omega Geração.

Ricardo Dias Mieskalo Silva

Mr. Ricardo Dias graduated in Business Administration with focus in Marketing and International Business from Kelley School of Business at Indiana University and completed the AB Inbev Executive MBA at INSEAD, as well as Marketing specialization courses at Stanford Graduate School of Business and Kellogg School of Management. For almost 20 years, Mr. Ricardo Dias held several roles in Marketing at Ambev / Anheuser-Busch InBev around many countries, including England, Canada, China, Mexico and AB InBev’s global office in New York, receiving several international Marketing and Communications industry recognitions. In 2018, Mr. Ricardo accepted the position of Vice President of Marketing for Ambev in Brazil, through which he served for almost two years. In December 2020, he co-founded Adventures, Inc, a digital marketing and brand management agency.

Sergio Zimerman

Mr. Zimerman is our chief executive officer and founder. He created our brand (originally under the name Pet Center Marginal) in 2002 after identifying an underpenetrated market with a shortage of competitors. He holds a bachelor’s degree in business administration from UNIP – Universidade Paulista and an MBA in retail from the University of São Paulo. He has also taken executive courses in Europe and in the U.S. Early in his career as an entrepreneur, he founded companies in different retail segments, as for example, clothes and beverage. As our founder and chief executive officer, he has led our initial expansion, which in ten years reached the mark of 27 stores and a turnover ratio of R$200 million in 2012. In 2013, WP became our shareholder and Mr. Zimerman became a member of our board of directors, responsible for implementing our professionalization. We now have 110 stores, a turnover ratio of R$1.2 110 billion and also provide veterinary services under our brand Seres. Mr. Zimerman won the Entrepreneur of the Year award by the Shopping Mall Store Owners Association (ALSHOP) in 2018, intends to transform Petz into the largest and best chain of pet shops in Latin America

Sylvia de Souza Leão Wanderley

Mrs. Sylvia worked for more than 30 years in the retail market, having worked at Walmart Brasil (1995-2000), Grupo Pão de Açúcar (2000 to 2012), and Carrefour (2015 to 2018), where she held positions as Vice President in the areas of Marketing, Sales, Operations, and Human Resources. She also served as Vice President of Marketing and Innovation at BRF from 2013 to 2014. She is currently a member of the Board of Directors of Sodimac Brasil, a Falabella group Company, TOTVS, Baumgart Group, TV1, VIVARA, Quimica Amparo (YPÊ), JSL, Raia Drogasil (including a leadership role on the People’s Committee and as member of the Strategy Committee and the Sustainability Committee) and Acumuladores Moura (as member of the People and Culture Committee). Mrs. Sylvia has a degree in Social Communication, with an Executive MBA in Administration at COPPEAD- UFRJ University, and specialization courses at MIT – Massachusetts Institute of Technology (USA), Sloan School of Management, and Fundação Dom Cabral.

Tania Zimerman

Ms. Zimerman holds a bachelor’s degree in management process and an MBA in retail from UBS University in São Paulo. In 2002, she started her career serving in our back-office department and was responsible for structuring certain departments, implementing management processes and coordinating the launch of new stores. She also led the first change in our internal systems and was responsible for developing our accounting department and our back-office structure. Ms. Zimerman also contributed to the creation of our loyalty program and created some new concepts within our stores, such as a unified reception and our first grooming center, where the tutors are able to watch their pets during the entire procedure. She also developed the Pet Safari which is located in our head office, seeking to create a different environment for the exposure of pets. From 2013 through 2019, she directly coordinated the two franchisees we had at the time. In 2016, Ms. Zimerman also created the Petz Play, our recreational space.

Executive Board

The Board of Executive Officers is composed of a minimum of 2 and a maximum of 6 Officers, residing in the country, elected by the Board of Directors, including 1 Chief Executive Officer, 1 Chief Financial and Investor Relations Officer and the other Officers without specific designation. Members are elected for a 2-year term (reelection permitted).

Aline Ferreira Penna Peli

  • Position: Vice President of Finance, Investor Relations/ESG and New Business

Current CFO and IRO of Petz, Aline joined the company in 2021 and is also in charge of M&A, Business Development, and ESG. From 2017 to 2021, Aline held the position of Chief Strategy Officer and Investor Relations Director of Arezzo&Co, responsible for structuring strategic initiatives to support the company’s accelerated growth, conducting five M&As (including the renowned brands Reserva and Vans) and the creation of ZZ Ventures, its Corporate venture capital arm. Previously, Aline worked in the financial Market, with fifteen years of experience in Investment Banking, Private Equity, and Equity Investments & Analysis (Buy-side), most of the time at HSBC Bank. In 2022, Aline was elected the best CFO executive in the Brazilian retail industry, awarded by Institutional Investor. She holds a degree in Business Administration from Fundação Getúlio Vargas – FGV.

Marcelo Silveira Maia

  • Position: Vice President of Digital and Innovation

Mr. Maia holds a bachelor´s degree in Electrical Engineering from the State University of Campinas (UNICAMP), an Executive MBA from the Instituto de Ensino e Pesquisa/Institute of Research and Teaching (INSPER), and a post-graduate degree in Supply Chain and Logistics from the Massachusetts Institute of Technology (MIT). Mr. Maia has more than fifteen years of experience in the retail market, areas in which he´s worked in many leadership positions, such as Supply Chain Manager at Carrefour for Brazil. In 2012, he joined Petz responsible for E-commerce, supply chain, and logistics. In 2022, he became the Vice-President of Digital, IT and Supply Chain. Mr. Maia does not hold positions in other third sector companies or organizations.

Rodrigo Fernandes Cruz

Mr. Cruz holds a bachelor´s degree in Business Administration and an MBA in Business Management from Fundação Getúlio Vargas (FGV). He has more than twenty years of experience in retail, especially in Operations and Expansion areas. Before joining Petz, Mr. Cruz worked at Hering, where he acted as Regional Operating Manager (RJ/MG/BA) and General Self-owned Stores Manager. In 2015, Mr. Cruz joined the company as Expansion and Operations Director and, in 2022, became the Vice-President of Operations, Expansion and Engineering. Mr. Cruz does not hold positions in other third sector companies or organizations.

Fiscal Council

The Fiscal Council, with a non-permanent character, is composed of 3 effective members and an equal number of alternate members, shareholders or not, who are elected and may be removed at any time by a shareholders’ general meeting.

Andre Coji

  • Position: Member

Mr. Coji holds a bachelor´s degree in business administration from Fundação Getúlio Vargas (FGV) and a law degree from Faculdade de São Francisco. With more than twenty years of experience in finance and administration, he acted as a private bank and family office director, as a board member at Via Varejo S.A., and was the CFO at Tecnisa S.A. for ten years. Currently, he is part of the board of directors and independent committee at Smiles Fidelidades S.A. and a supervisory board member at Tecnisa S.A., Companhia Siderúrgica Nacional (CSN), Via Varejo S.A. and B3. He also exercises his role as director of the Brazilian Israeli Foundation. Mr. Coji does not hold positions in other third sector companies or organizations.

Cátia Yuassa Tokoro

Ms. Tokoro holds a bachelor´s degree in Electrical Engineering from the Pontifical Catholic University of Rio de Janeiro (PUC-RJ), with expertise in systems, and an MBA in business administration from the Brazilian Institute of Capital Markets (IBMEC-RJ). She served as the B2B Vice-president at the Grupo Imagem and Oi. Currently, she is part of the board of directors at SulAmérica and CHESF. Ms. Tokoro does not hold positions in other third sector companies or organizations.

Tiago Curi Isaac

Mr. Isaac has vast experience in business administration and as a board director. He served as the CEO at DHG Alimentos S/A, as a supervisory board member at Totvs S/A, as a board director at Associação Brasileira de Companhias Abertas, and was the responsible for the Capital Market at B3. He currently holds a seat on the board of directors of the following companies: BBM Logística S/A, Klabin S/A, Banco do Estado de Sergipe (BANESE) DHG Alimentos S/A. Vanessa Tondato

Ms. Tondato joined us in 2012 and currently serves as senior accounting manager, responsible for the tax and accounting areas. In line with our goals to improve professionalization, she has led our asset drop-down process and the organization of our financial reports and controls. Previously, she worked at the external audit practice at Ernest & Young for approximately seven years, holding positions ranging from trainee to practice manager in the city of São Paulo. She is specialized in internal controls, back office process and financial reporting according to international accounting standards (IFRS). She holds a bachelor’s degree in accounting from Centro Universitário Fundação Santo André.

Paulo Eduardo da Silveira Lobo Cicogna

Dr. Paulo Eduardo da Silveira Lobo Cicogna holds a Medical degree from the Federal University of Santa Catarina (UFSC), medical residency by the State Department of Health of Santa Catarina, medical residency in Nephrology at São José Municipal Hospital in Joinville and Master’s degree in Health Technology from the Pontifical Catholic University of Paraná (PUC-PR), in addition to having concluded the Leadership Development Program from the Fundação Dom Cabral. With extensive experience in executive medicine, he worked at companies such as Phillips, Fundação Pró-Rim and Grupo NotreDame Intermédica, where he served as Medical Specialist, Medical Director and Executive Director of Integrations, respectively. In 2023, he joined Petz Group team as the Director of Veterinary Services. Dr. Paulo Eduardo da Silveira Lobo Cicogna does not hold positions in other companies or third-sector organizations.

Mr. Claudio Roberto Ely is a senior consultant at Warburg Pincus. Prior to that, Mr. Ely was CEO at Drogasil S.A., where he led the company’s IPO process in 2007 and participated in the merger of Drogasil with Raia S.A., which resulted in Raiadrogasil S.A., Brazil’s largest pharmacy chain. Mr. Ely was also CEO and held management positions at Banco Geral do Comércio, and was Managing Director at Camargo Correa Metais. Mr. Ely is currently a member of the Boards of Directors of Pet Center, DIMED Distribuidora de Medicamentos and Petrobrás Distribuidora, and a member of the Advisory Council of Eurofarma Laboratórios and Sequoia Logística. Gregory Louis Reider

Marcelo Silveira Maia

Paulo Eduardo da Silveira Lobo Cicogna

Dr. Paulo Eduardo da Silveira Lobo Cicogna holds a Medical degree from the Federal University of Santa Catarina (UFSC), medical residency by the State Department of Health of Santa Catarina, medical residency in Nephrology at São José Municipal Hospital in Joinville and Master’s degree in Health Technology from the Pontifical Catholic University of Paraná (PUC-PR), in addition to having concluded the Leadership Development Program from the Fundação Dom Cabral. Ricardo Dias Mieskalo Silva

He created our brand (originally under the name Pet Center Marginal) in 2002 after identifying an underpenetrated market with a shortage of competitors. He has also taken executive courses in Europe and in the U.S. Early in his career as an entrepreneur, he founded companies in different retail segments, as for example, clothes and beverage. As our founder and chief executive officer, he has led our initial expansion, which in ten years reached the mark of 27 stores and a turnover ratio of R$200 million in 2012. In 2013, WP became our shareholder and Mr. Zimerman became a member of our board of directors, responsible for implementing our professionalization. We now have 110 stores, a turnover ratio of R$1.2 110 billion and also provide veterinary services under our brand Seres. Mr. Zimerman won the Entrepreneur of the Year award by the Shopping Mall Store Owners Association (ALSHOP) in 2018, intends to transform Petz into the largest and best chain of pet shops in Latin America

Sylvia de Souza Leão Wanderley

She also served as Vice President of Marketing and Innovation at BRF from 2013 to 2014. Tania Zimerman

Ms. Zimerman holds a bachelor’s degree in management process and an MBA in retail from UBS University in São Paulo. In 2002, she started her career serving in our back-office department and was responsible for structuring certain departments, implementing management processes and coordinating the launch of new stores. She also led the first change in our internal systems and was responsible for developing our accounting department and our back-office structure. Ms. Zimerman also contributed to the creation of our loyalty program and created some new concepts within our stores, such as a unified reception and our first grooming center, where the tutors are able to watch their pets during the entire procedure. She also developed the Pet Safari which is located in our head office, seeking to create a different environment for the exposure of pets. From 2013 through 2019, she directly coordinated the two franchisees we had at the time. In 2016, Ms. Zimerman also created the Petz Play, our recreational space.

Aline Ferreira Penna Peli
